Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Zen National Corporation (“Peppaca”, “we”, “us”), which operates the Peppaca Store marketplace (the “Service”) connecting independent makers (“Makers”) with buyers (“Buyers”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

“Maker” means a user who opens a shop and lists items for sale. “Buyer” means a user who purchases items. “Listing” means a product a Maker offers. “Content” means text, images, reviews, and other material submitted to the Service.

2. The marketplace (we are a venue, not the seller)

Peppaca is a venue that lets Makers sell directly to Buyers. Peppaca is not the seller of any item, never takes possession of items, and is not a party to the contract of sale. Each sale is a contract made directly between the Buyer and the Maker. We do not guarantee any item’s quality, safety, legality, or that a Maker will complete a sale.

3. Eligibility & accounts

  • You must be at least 18 years old (or the age of majority where you live).
  • You are responsible for your account credentials and all activity under your account.
  • You must provide accurate information and keep it current. One person or entity may not maintain multiple accounts to evade enforcement.

4. Buying

  • Placing an order is an offer to purchase directly from the Maker; the Maker may accept or decline.
  • Payment is made directly to the Maker through PayPal. Peppaca does not hold, handle, or escrow the funds.
  • Shipping, processing, and made-to-order lead times are set by each Maker and shown on the Listing.

5. Selling & listings

  • Handmade only. Makers may list only genuinely handmade, hand-altered, or hand-designed items they have the right to sell. Mass-produced, resold, counterfeit, or misrepresented goods are not permitted.
  • Makers are responsible for the accuracy of their Listings, pricing, fulfilment, shipping, customer service, and compliance with all applicable laws (including any Specified Commercial Transactions Act and consumer-protection disclosures).
  • Makers must deliver items as described and within the stated time, and handle their own tax obligations.

6. Fees

Opening a shop and listing items is currently free. Peppaca may charge a commission or other fees on sales; any fees, and changes to them, will be disclosed in advance. Payment-processor (PayPal) fees are charged by PayPal under your agreement with them.

7. Payments, refunds & disputes

Because payment goes directly to the Maker, refunds and payment disputes are resolved between the Buyer and the Maker, with PayPal’s Buyer Protection and dispute process applying to the transaction. Peppaca is not responsible for issuing refunds and is not a party to any chargeback or dispute, though we may help facilitate communication and may act on a Maker who repeatedly fails to honour orders.

8. Reviews

Buyers may review orders they have paid for. Reviews must be honest and based on a genuine transaction. A Buyer may remove their own review within 7 business days of posting; after that it becomes permanent. We may remove reviews that are fraudulent, abusive, unlawful, or otherwise violate these Terms.

9. Prohibited items & conduct

You may not list, sell, buy, or post:

  • illegal, stolen, counterfeit, hazardous, recalled, or regulated items, or items that infringe intellectual-property or other rights;
  • mass-produced or resold goods misrepresented as handmade;
  • content that is false, defamatory, obscene, hateful, or harassing.

You also may not: manipulate reviews or ratings; circumvent the Service to avoid fees; harvest user data; introduce malware; or interfere with, disrupt, or misuse the Service.

10. Intellectual property & your content

Makers and users retain ownership of the Content they submit. By submitting Content, you grant Peppaca a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, adapt, translate, and promote that Content for operating and marketing the Service. You represent that you have the rights to grant this licence. The Peppaca name, logo, and the Service’s design are our property and may not be used without permission.

11. Reporting infringement

If you believe Content on the Service infringes your intellectual property, contact us at support@peppaca.com with a description of the work, the allegedly infringing material, your contact information, and a good-faith statement. We will review and may remove the material and, where appropriate, terminate repeat infringers.

12. Service availability & changes

We may modify, suspend, or discontinue any part of the Service at any time, and we do not guarantee uninterrupted or error-free operation. We are not liable for any unavailability of the Service.

13. Suspension & termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms or applicable law, or to protect the community, other users, or the Service.

14. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. Handmade items vary naturally and may differ from photographs. Because Peppaca is a venue and not the seller, we make no warranty regarding any item or the conduct of any Maker or Buyer.

15. Limitation of liability

To the maximum extent permitted by law, Peppaca and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Service will not exceed the greater of the fees you paid us in the 12 months before the claim or US$100.

16. Indemnification

You agree to indemnify and hold harmless Peppaca from claims, damages, and expenses (including reasonable legal fees) arising from your Content, your use of the Service, your sales or purchases, or your violation of these Terms or any law or third-party right.

17. Dispute resolution & governing law

If a dispute arises between you and Peppaca, please first contact us so we can try to resolve it informally. These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules. Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in California, United States, and you consent to that venue.

18. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Peppaca regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. We may give notices by posting on the Service or emailing the address on your account.

19. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new date and, where appropriate, notice. Continued use after changes take effect means you accept the updated Terms.
